Please read these Terms and Conditions ("Terms") carefully before using SimsonDesk and SimDesk (together, the "Service"), operated by Simson Softwares Private Limited ("Simson", "we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of terms

By creating an account or using the Service in any manner, you confirm that you are at least 18 years of age, have authority to enter into these Terms on behalf of yourself or your organisation, and agree to comply with all applicable laws.

2. Description of the Service

SimsonDesk is a cloud-based, multi-tenant software-as-a-service (SaaS) work platform covering helpdesk/ticketing, CRM, HR, projects, assets and compliance. SimDesk is a companion remote-support desktop application. The Service is provided on a subscription basis and access is granted subject to payment of applicable fees.

We may modify, suspend or discontinue features with reasonable notice where practicable. We will not be liable for any modification, suspension or discontinuation of the Service except as required by law.

3. Free trial

New workspaces may start with a 14-day free trial. No charge applies during the trial. If you do not upgrade to a paid plan before the trial ends, paid features are disabled and the account is treated as unpaid for the purposes of our Data Deletion Policy.

4. Subscription and payment

Paid access requires a valid subscription. Fees are billed per user, monthly, in advance. Payments are processed securely through Stripe (global cards) and Razorpay (India). By providing payment details you authorise us to charge the applicable fees to your chosen method.

  • Prices are shown exclusive or inclusive of applicable taxes as indicated at checkout.
  • We may change pricing with at least 30 days' prior notice.
  • Failure to pay may result in suspension or termination of the account.
  • Refunds and cancellations are governed by our Refund Policy.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation or third-party right.
  • Upload or transmit malicious code, viruses or harmful content.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse engineer, decompile or disassemble any part of the platform.
  • Send unsolicited communications (spam) or run a SimDesk session without the remote user's genuine consent.
  • Resell, sublicense or commercially exploit the Service without our written consent.
  • Store illegal, defamatory or fraudulent data on the platform.

We may suspend or terminate accounts that violate these Terms.

6. Remote-support sessions

When using SimDesk, the party running a session is responsible for obtaining the remote user's informed consent before viewing or controlling their screen and before recording. The remote user can withdraw consent and End the session at any time. Misuse of remote access is a material breach of these Terms.

7. Your data and content

You retain ownership of all data and content you upload to or create within the Service ("Your Data"). You grant us a limited, non-exclusive licence to store, process and display Your Data solely to provide the Service. You are responsible for ensuring Your Data complies with applicable laws, including data-protection and privacy laws, and that you have the rights and consents needed to process it.

8. Availability & service levels

We target a monthly availability of 99.5% for the SimsonDesk platform, measured excluding scheduled maintenance (for which we give advance notice where practicable) and events beyond our reasonable control. This target is a service goal and does not, by itself, create a financial guarantee unless separately agreed in a written order or enterprise agreement.

9. Disclaimer of warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted, error-free operation. We do not warrant that the Service will always be available, timely, secure or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Simson and its affiliates, directors, officers, employees and service providers shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of data, loss of profits, revenue, business or goodwill, service interruptions, or the acts of third-party providers, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the three (3) months immediately before the event giving rise to the claim. You remain responsible for maintaining independent backups of critical data.

11. Indemnification

You agree to indemnify and hold harmless Simson and its affiliates, directors, officers and employees from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Intellectual property

The Service, including its software, design, text, graphics, logos and trademarks (including "SimsonDesk" and "SimDesk"), is the exclusive property of Simson and is protected by applicable intellectual-property laws. You may not copy, modify, distribute or create derivative works from any part of the platform without our prior written consent.

13. Termination

We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases; provisions that by their nature survive (including liability limits and disclaimers) remain in effect. You may terminate your account at any time from within the platform or by contacting support. Termination does not entitle you to a refund except as described in our Refund Policy.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Mohali, Punjab, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. We encourage you to contact us first to resolve any dispute amicably.

15. Changes to these Terms

We may modify these Terms at any time and will notify you of material changes by email or a prominent in-app notice. Continued use after the effective date constitutes acceptance.
